Terms of Service

These Terms of Service ("Terms") govern your access to and use of Paper ("Paper," "we," "us," or "our").
Paper is an AI-assisted workspace designed to help people develop and establish their intent before handing work to AI.
By accessing or using Paper, you agree to these Terms.
1. What Paper provides
Paper provides tools for writing, organizing, reviewing, and developing your thinking.
Some Paper features, including Review, use third-party artificial intelligence services to process content you choose to submit.
Paper is currently an early-stage service. Features, functionality, access methods, limits, and availability may change as the product develops.
We may modify, add, remove, suspend, or discontinue parts of Paper where reasonably necessary to operate or develop the service.
2. Your content
You retain ownership of the content you create in Paper.
You give Paper permission to process your content only as reasonably necessary to provide, secure, maintain, and improve the service, including transmitting relevant content to service providers when you explicitly use features that require them.
For example, using Review requires relevant content to be transmitted through Paper's infrastructure to the Google Gemini API.
Our handling of personal information is described in our Privacy Policy.
You are responsible for ensuring that you have the rights necessary to use, submit, or process content through Paper.
3. Your responsibility
Paper is a tool for developing and examining your thinking. It does not take responsibility for decisions you make or actions you take based on that thinking.
You remain responsible for:
- the content and instructions you provide;
- the intent you establish;
- reviewing AI-generated suggestions or other output before relying on them;
- determining whether output is appropriate for your circumstances;
- what you provide to other people or systems; and
- what you ultimately choose to do with your work.
AI systems can produce inaccurate, incomplete, misleading, or inappropriate output. You should independently review important information before relying on it.
You are also responsible for protecting invitations, sessions, links, or other credentials that provide access to Paper.
4. Acceptable use
You may not use Paper to engage in unlawful activity or to intentionally facilitate serious harm.
This includes using Paper to:
- develop, facilitate, or provide instructions for weapons or activities intended to cause physical harm;
- create, deploy, distribute, or meaningfully facilitate malware, ransomware, destructive software, or other malicious code;
- steal passwords, authentication tokens, financial information, personal information, or other credentials;
- gain or attempt to gain unauthorized access to systems, accounts, devices, networks, or data;
- conduct unlawful surveillance, stalking, harassment, or exploitation;
- facilitate fraud, scams, impersonation, or deliberate deception intended to cause harm;
- deliberately evade security controls or abuse Paper's infrastructure; or
- engage in activity that violates applicable law or the rights of others.
Legitimate security research, defensive security work, education, analysis, and other lawful technical work are not prohibited merely because they involve discussing security risks or harmful systems.
We may restrict or terminate access to Paper where we reasonably believe the service is being used in violation of these Terms or in a way that creates a material security, legal, or safety risk.
5. AI and third-party services
Some Paper functionality depends on services operated by third parties, including Google Gemini and Cloudflare infrastructure.
Those services may be subject to their own terms, policies, limitations, and availability.
Paper does not control third-party services and cannot guarantee that they will always be available, accurate, or unchanged.
AI-generated suggestions are not statements of fact merely because Paper displays them. Paper is designed to support human judgment, not replace it.
6. Availability and changes
We aim to keep Paper useful and operational, but we do not guarantee uninterrupted or error-free availability.
Paper may experience bugs, outages, data loss, compatibility problems, provider failures, or other technical issues, particularly while the service remains in early development.
You should maintain independent copies of information that would be important for you to preserve.
We may impose or change reasonable usage limits where necessary to protect the service, manage costs, prevent abuse, or maintain reliable operation.
7. Intellectual property
Paper's software, interface, branding, design, and other materials provided as part of the service remain the property of Paper or their respective rights holders.
These Terms do not transfer ownership of Paper's technology or branding to you.
Likewise, using Paper does not transfer ownership of your original content to us.
Feedback you voluntarily provide about Paper may be used to improve or develop the service without an obligation to compensate you.
8. Early access
Paper is currently offered through limited early access.
Access to the Alpha does not guarantee permanent access, future features, Beta participation, pricing, or continued availability of the service.
We may revoke or restrict early access where reasonably necessary, including for abuse, security concerns, violation of these Terms, or operation of the Alpha program.
9. No professional advice
Paper and its AI-assisted features are not a substitute for professional legal, medical, financial, engineering, safety, or other specialized advice.
You are responsible for obtaining appropriate professional advice where your circumstances require it.
10. Disclaimers
Paper is provided on an "as is" and "as available" basis to the extent permitted by applicable law.
We do not guarantee that Paper or AI-generated output will be accurate, complete, reliable, secure, uninterrupted, or suitable for any particular purpose.
Nothing in these Terms excludes warranties, rights, or protections that cannot legally be excluded.
11. Limitation of liability
To the extent permitted by applicable law, Paper and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Paper.
This includes, where legally permitted, losses resulting from reliance on AI-generated output, service interruptions, third-party services, or loss of data.
Nothing in these Terms limits liability where doing so would be prohibited by applicable law.
12. Suspension and termination
You may stop using Paper at any time.
We may suspend, restrict, or terminate access where reasonably necessary to protect Paper, its users, its infrastructure, or third parties; comply with legal obligations; enforce these Terms; or discontinue the service.
Termination of access does not necessarily cause immediate deletion of information. Data handling and deletion are described separately in the Privacy Policy.
13. Changes to these Terms
Paper is an early-stage service and these Terms may change as the product develops.
We may update these Terms to reflect changes to Paper, our service providers, our operating practices, or applicable legal requirements.
When we make material changes, we will update the effective date displayed at the top and provide additional notice where appropriate.
Continued use of Paper after updated Terms take effect constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Nothing in these Terms prevents you from exercising rights or remedies available to you under applicable law.
